DCSBA new bylaws adopted

posted Oct 29, 2014, 1:37 PM by John Rudy   [ updated Dec 9, 2014, 1:30 PM ]

At the November 6th, 2014 meeting, the new Board of Directors approved new Association bylaws to commence starting July 1st, 2015.

Highlights of the changes:
  • Consistent terminology throughout and removal of conflicts.
  • Moved articles explaining the positions (above) ahead of others to acquaint the reader with terminology.
  • For better financial oversight, added a Treasurer officer.  Added more specifics concerning financial duties between Treasurer, Exec. Director and President.
  • Executive Committee is now called a Board of Directors.  Director responsibilities are listed.  The Executive Committee becomes the group name of 3 officers, Executive Director, and ex-officio past-president and NYSSBA Area 9 Director.
  • For Executive Director, stated responsibilities to match current Association desires.
  • Removed Legislative Director and Program Director. V.P. assumes legislative duties and (new) Executive Committee addresses the program.
  • Officers now have a limit of 3 successive years (was 2 then no limit several years ago).  There is no cumulative limit.
  • Quorum is now 5 member boards (was 1/3 in two places and 3 in another).
  • One vote per member board instead of five.
  • Officers only vote on behalf of their district if either (a) they are the acting Director or (b) if no Director or alternate is present.
  • Clarified that ex-officio members cannot vote.
  • Minimum of 3 Board of Director meetings changed to follow practice: "shall normally be scheduled on a monthly basis between September to June".
  • More inclusion of CSO attendance.
  • Added a dues projection in March sent to districts and grace period through September 30th. Clarified the good standing member designation and benefits.
